Terms of Service

1. Agreement to Terms
By accessing or using the ClearPoint CFO website ("Site") or purchasing any services offered by ClearPoint CFO ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Site or Services. ClearPoint CFO is operated by Eric Uva ("we," "us," or "our").
2. Services Description
ClearPoint CFO provides positioning, branding, and LinkedIn authority-building services for fractional CFOs and independent finance professionals. Our services include:
- CFO Authority Index Audit: A free positioning diagnostic delivered via email within 48 hours of intake form submission.
- Brand Build: A one-time engagement ($3,500) that includes a full LinkedIn profile rewrite, branded case study, visual identity system, and evergreen topic bank.
- Authority Engine: An ongoing monthly retainer ($3,500/month) that includes LinkedIn content creation, strategic account engagement, performance reporting, and referral partner outreach.
3. Payment Terms
Brand Build: Payment of $3,500 is due in full upon engagement. Work begins after payment is received and processed.
Authority Engine: The monthly retainer of $3,500 is billed on the first of each month. The first payment is due upon engagement commencement.
All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees. Prices are in U.S. dollars and do not include applicable taxes, which are your responsibility.
4. Satisfaction Guarantee
For the Brand Build engagement, we offer a satisfaction guarantee: if you are not satisfied with the deliverables, we will revise them until you are — at no additional cost. This guarantee applies to reasonable revision requests made within 30 days of deliverable completion. It does not entitle you to a refund of fees already paid.
5. Cancellation Policy
Authority Engine: You may cancel your monthly retainer at any time with 30 days' written notice. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
Brand Build: Once work has commenced, the Brand Build engagement is non-refundable. If you need to pause the engagement, we will accommodate reasonable scheduling requests.
6. Client Responsibilities
To ensure timely and effective delivery of Services, you agree to:
- Provide accurate and complete information during the intake process
- Respond to requests for feedback or approval within 5 business days
- Provide weekly voice memos (Authority Engine) as agreed upon in the onboarding process
- Grant necessary access to your LinkedIn profile for content publishing (Authority Engine)
- Not misrepresent the deliverables as created by any party other than ClearPoint CFO
7. Intellectual Property
Upon full payment, you own all deliverables created specifically for you, including LinkedIn copy, case studies, content, and visual assets. You may use these materials for any lawful purpose related to your professional practice.
ClearPoint CFO retains the right to use anonymized versions of deliverables and aggregated results for marketing, case studies, and portfolio purposes, unless you explicitly opt out in writing.
8. Confidentiality
We treat all client information as confidential. We will not share your personal information, business details, financial data, or deliverables with any third party without your explicit written consent, except as required by law. This obligation survives termination of the engagement.
9. Disclaimer of Results
ClearPoint CFO provides positioning and content services. We do not guarantee specific business outcomes, including but not limited to: number of clients acquired, revenue generated, LinkedIn engagement metrics, or timeline to results. Case studies and projections on our website are representative examples based on our service model. Individual results vary based on niche selection, market conditions, engagement level, and other factors outside our control.
10. Limitation of Liability
To the maximum extent permitted by law, ClearPoint CFO's total liability for any claims arising from or related to the Services shall not exceed the total fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.
11. Indemnification
You agree to indemnify and hold harmless ClearPoint CFO, its owner, and its contractors from any claims, damages, or expenses arising from your use of the deliverables, your breach of these Terms, or your violation of any third-party rights.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Dallas, Texas, in accordance with the rules of the American Arbitration Association.
13. Modifications
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site or Services after any changes constitutes acceptance of the modified Terms.
